Article 1 - Purpose

These Terms and Conditions of Sale define the conditions under which PEERYX NETWORK provides professional customers with network infrastructure, telecommunications, hosting, IP transit, Anti-DDoS, tunnel, colocation, reverse proxy, application services and, more generally, any service related to digital infrastructures.

Article 2 - Professional customers only

PEERYX NETWORK services are intended exclusively for professionals, businesses, companies, associations acting within the scope of their activity, administrations, public bodies, independent workers, self-employed persons, liberal professions, resellers, operators, hosting providers, online service publishers and, more generally, any natural or legal person acting for the needs of their professional activity. PEERYX NETWORK services are not intended for consumers within the meaning of consumer law, nor for persons acting exclusively for personal, private or family purposes. By creating a customer account, using the website, requesting a quote, validating an order, accepting an offer or making payment for a service, the Customer declares and warrants that they act exclusively for professional purposes. This declaration is an essential and determining condition of PEERYX NETWORK's consent. PEERYX NETWORK is not required to systematically verify the professional status declared by the Customer. The Customer remains solely responsible for the accuracy of the information provided when creating the account, placing an order or during any commercial exchange. Any person who creates an account, requests a quote or orders a service while declaring or suggesting that they act professionally, although they actually act for personal or consumer purposes, does so under their sole responsibility. In such case, PEERYX NETWORK reserves the right to refuse the order, suspend the service, terminate the contract or require any information establishing the Customer's professional status. These terms are established for contractual relations between professionals. Consequently, provisions specific to consumers, including consumer withdrawal rights and recourse to a consumer mediator, are not intended to apply.

Article 3 - Services

PEERYX NETWORK may provide, in particular, the following services: protected IP transit, IP transit, network and application Anti-DDoS protection, GRE, VXLAN, IPIP or other equivalent tunnel technologies, BGP announcements, reverse proxy, gaming services, hosting, dedicated servers, VPS, colocation, provision of 1G, 10G, 100G or 400G ports, Lan2Lan, cross-connect, managed network services, filtering, routing, mitigation and any other service mentioned on the website, in the customer area, on a quote, invoice or specific contract. The exact characteristics of the service are those stated on the offer page, quote, order form, invoice, contract or any specific contractual document accepted by the Customer.

Article 4 - Orders

Orders may be placed directly on the website, in the customer area, by online payment, manual quote, invoice, commercial exchange or any other method accepted by PEERYX NETWORK. Some services may be activated automatically. Others require manual validation or a specific technical intervention. The applicable procedures are those stated on the offer page, quote, invoice or specific contract. PEERYX NETWORK reserves the right to refuse an order, even after payment, in particular if the requested service presents a technical, legal, financial, security, reputation or abuse risk, or if it may disrupt the infrastructure, transit providers, suppliers or other customers.

Article 5 - Required technical information

The Customer undertakes to provide all information required to put the ordered service into operation. Depending on the service, PEERYX NETWORK may request, in particular: tunnel endpoint, ASN, IP prefixes, LOA, route objects, RPKI information, NOC contacts, abuse contacts, routing information, hosting information, technical requirements, network configuration, supporting documents or any other information necessary to perform the service. Any delay, error or missing information from the Customer may delay or prevent activation of the service, without PEERYX NETWORK being held liable.

Article 6 - Activation time

Unless otherwise stated, services are generally activated within 24 to 72 hours after payment validation and complete receipt of the required technical information. This timeframe is indicative. Some services may require longer timeframes, in particular in case of cross-connect, physical port, datacenter intervention, upstream validation, BGP configuration, hardware procurement, supplier validation or intervention by an external provider.

Article 7 - Prices

Prices are stated in euros excluding taxes unless otherwise indicated. Applicable taxes are added in accordance with applicable regulations. Prices may vary depending on the offer, commitment, volume, capacity, type of service, duration, installation fees, setup fees, options and specific conditions set out in the quote, contract or order form.

Article 8 - Payment

Services are payable in advance. Accepted payment methods may include, depending on the case: bank card, bank transfer, SEPA direct debit, PayPal, Shine invoice, Pennylane invoice or any other method accepted by PEERYX NETWORK. PEERYX NETWORK reserves the right to require a specific payment method, in particular SEPA direct debit, for certain committed offers, certain risk-sensitive services or large amounts.

Article 9 - Setup fees

Certain offers may include installation fees, setup fees, commissioning fees, technical fees, port fees, cross-connect fees, configuration fees or administrative fees. These fees are never refundable unless otherwise agreed in writing by PEERYX NETWORK.

Article 10 - Late payment

Any payment must be made by the due date stated on the invoice, quote, contract or customer area. PEERYX NETWORK may tolerate a maximum delay of 4 calendar days. After this period, PEERYX NETWORK may suspend, limit, deactivate or delete the service without further notice. For non-committed services, the service may be deleted after 4 days of unpaid amounts. For committed services, technical suspension or deletion of the service does not release the Customer from their payment obligation until the end of the contractual commitment. In case of late payment between professionals, late payment penalties will be due at a rate equal to the European Central Bank refinancing rate plus 10 percentage points, without being lower than three times the applicable statutory French interest rate. A fixed recovery indemnity of EUR 40 per unpaid invoice will also be due. PEERYX NETWORK may also request reimbursement of additional recovery costs actually incurred.

Article 11 - Subscriptions and duration

Services may be subscribed monthly, quarterly, semi-annually, annually or according to any other billing period provided in the offer, quote or contract. Some offers are non-committed. Others may be subject to a duration commitment ranging from 3 months to 10 years, according to the conditions accepted by the Customer.

Article 12 - Termination

For non-committed offers, the Customer may terminate with 14 calendar days' notice before the next due date.

  • Commitment up to 3 months: 1 month notice.
  • Commitment above 3 months and up to 3 years: 3 months notice.
  • Commitment above 3 years and up to 10 years: 6 months notice.
  • In the event of early termination of a committed service, all amounts due until the end of the commitment period remain payable. Except in case of suspension for abuse, non-payment, prohibited use or risk to the infrastructure, the service will remain active until the paid or due contractual term. Termination may be requested from the customer area when this feature is available, or by any other method accepted by PEERYX NETWORK. A promotional or launch offer is not retained if the Customer terminates and subscribes again later.

Article 13 - Authorized use

The Customer may use the services for any legal, professional use compliant with these Terms, applicable laws, supplier rules, datacenter rules, transit provider rules and network best practices. The following are authorized when legal and non-abusive: web hosting, gaming, game servers, VPN, proxy, application services, network infrastructure, legal crypto/blockchain services, legal streaming, professional services and technical uses necessary for the Customer's activity.

Article 14 - Prohibited use

The following are strictly prohibited: spam, phishing, malware, botnet, fraud, unauthorized mass scanning, computer attacks, outbound DDoS, amplification, unauthorized IP spoofing, illegal hosting, unlawful content, counterfeiting, child sexual abuse material, scams, activities infringing third-party rights, abusive open resolvers, open relays, abusive public proxies, unauthorized resale, activities generating abnormal bandwidth or packet-per-second consumption, or any use likely to disrupt PEERYX NETWORK, its suppliers, transit providers, datacenters or other customers. PEERYX NETWORK applies a zero-tolerance policy for phishing, malware, botnet, massive spam, fraud, illegal activity or computer attacks.

Article 15 - Abuse and reports

PEERYX NETWORK's abuse contact is: abuse@peeryx.com. The Customer undertakes to process abuse reports as quickly as possible. Processing time may vary depending on severity, subscribed support level, operational load and urgency. As an indication, PEERYX NETWORK may request a response within up to 72 hours, or faster in a serious emergency. In case of obvious abuse, legal risk, threat to the infrastructure or illegal activity, PEERYX NETWORK may suspend or terminate the service without delay.

Article 16 - Anti-DDoS, mitigation and filtering

Anti-DDoS protection services are provided within the limits of available technical capacities, the subscribed offer, attack characteristics, transit provider and supplier constraints, and the Customer's behavior. PEERYX NETWORK implements detection, filtering, mitigation, routing, limitation, network rules, upstream filtering and automated protection mechanisms to reduce attack impact. The Customer acknowledges that Anti-DDoS protection does not guarantee the complete absence of interruption, latency, packet loss, unintended filtering or temporary degradation. Some attacks may imitate legitimate traffic. In such case, PEERYX NETWORK may apply filtering rules that may affect part of legitimate traffic in order to preserve service availability, the infrastructure and other customers. The Customer may not require the disabling of essential mitigation mechanisms used by PEERYX NETWORK. The Customer may request adjustments or exceptions by ticket. Such requests are reviewed case by case and remain subject to technical approval.

Article 17 - Blackhole, limitation and routing changes

PEERYX NETWORK always seeks to avoid blackholing where technically possible. However, PEERYX NETWORK reserves the right to limit, filter, blackhole, suspend, isolate, change routing, change announcements, change network paths, activate or deactivate certain transit providers, or apply any necessary technical measure in case of attack, abuse, incident, emergency, vulnerability, non-payment, risk to the infrastructure or risk to other customers. These measures may be applied without prior Customer approval when necessary for the stability, security or continuity of the infrastructure.

Article 18 - Abusive Customer behavior

PEERYX NETWORK may suspend or terminate without refund any service used in an abusive or deliberately risky manner. The following are considered abusive in particular: deliberately provoking attacks, deliberately attracting malicious traffic, generating abnormal consumption, attempting to harm PEERYX NETWORK, its suppliers or its customers, bypassing technical limitations or using the service in a manner not compliant with the subscribed offer.

Article 19 - Refusal, suspension and refund

PEERYX NETWORK may refuse, suspend or terminate a service if it presents a technical, legal, financial, operational or security risk. In case of refusal or impossibility not attributable to the Customer, PEERYX NETWORK may offer a full or partial refund. However, no refund is due if the Customer has used the service in an illegal, abusive, fraudulent, risky, harmful or non-compliant manner, or if they have voluntarily or indirectly contributed to endangering the infrastructure, suppliers or other customers. Refunds are reviewed case by case.

Article 20 - SLA

Unless otherwise stated, PEERYX NETWORK applies a 99% availability objective to the relevant services. Excluded from the SLA are: DDoS attacks, abuse, incidents caused by the Customer, Customer configuration errors, scheduled maintenance, emergency maintenance, supplier interventions, upstream incidents, datacenter incidents, force majeure, third-party failures, saturation caused by abnormal use, suspension for non-payment or non-compliance with these Terms. Scheduled maintenance is announced with 7 days' notice, except in case of emergency, supplier constraint, security risk or exceptional technical necessity. The SLA does not automatically entitle the Customer to a refund, credit or compensation. Any possible compensation is a discretionary commercial gesture by PEERYX NETWORK, unless otherwise provided by a specific contractual agreement.

Article 21 - Support

Support is provided according to the service level subscribed by the Customer. Response times may vary depending on the offer, urgency, complexity, operational load, supplier availability and subscribed support level.

Article 22 - Liability

PEERYX NETWORK's liability is limited to proven direct damages exclusively attributable to PEERYX NETWORK. PEERYX NETWORK shall not be liable for indirect losses, operating losses, loss of revenue, data loss, customer loss, reputational damage, service interruptions, attacks, supplier incidents, datacenter incidents, upstream incidents or damages caused by a third party. In any event, PEERYX NETWORK's total liability is limited to the amount paid by the Customer for the relevant service during the last invoiced month.

Article 23 - Data and security

The Customer is responsible for the security of their access credentials, passwords, configurations, servers, applications, tunnels, equipment and hosted services. The Customer must keep their systems up to date, fix vulnerabilities, avoid abusive open configurations and respond to security or abuse requests. PEERYX NETWORK may take any technical measure necessary to preserve the security of its network.

Article 24 - Force majeure

PEERYX NETWORK shall not be liable in case of force majeure or an event beyond its reasonable control, including supplier failure, datacenter failure, power outage, major network incident, war, riot, natural disaster, administrative decision, massive cyberattack, malicious act, third-party failure or regulatory constraint.

Article 25 - Changes to the Terms

PEERYX NETWORK may modify these Terms at any time. New Terms apply to new orders and renewals after their publication. For ongoing committed contracts, the accepted specific conditions remain applicable until their term, except for changes required for legal, regulatory, technical, security or supplier reasons.

Article 26 - Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute, the parties will first seek an amicable solution. Failing amicable resolution, any dispute will fall within the jurisdiction of the competent courts of the area of Nimes, including in case of multiple defendants, third-party proceedings or urgent proceedings.
